Welcome to Specchec ("Service"), operated by Sangre Strategies LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Specchec platform at specchec.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Specchec is a software-as-a-service (SaaS) platform that uses artificial intelligence to extract Division 06/12 casework and millwork specifications from construction project documents. The Service accepts uploaded PDF documents (specifications, plans, and addenda) and generates extraction reports identifying bid requirements, cabinet specifications, finishes, hardware, materials legends, prevailing wage status, addendum tracking, and RFI recommendations.
IMPORTANT: Specchec is an AI-powered service and can make mistakes. Reports generated by Specchec are produced by artificial intelligence and are provided for informational purposes only. Specchec does NOT guarantee the accuracy, completeness, or reliability of any report, deliverable, or output generated by the Service. All reports and deliverables MUST be independently reviewed and verified by the end user before being relied upon for any purpose, including but not limited to bidding, estimating, procurement, or construction.
NO GUARANTEE OF RESULTS: Specchec and its parent company, Sangre Strategies LLC, make no representations or warranties, express or implied, regarding the results obtained from the use of the Service. AI-generated extractions may contain errors, omissions, misinterpretations, or inaccuracies. Specchec and Sangre Strategies LLC shall not be held responsible or liable for any mistakes, whether explicit, implicit, or otherwise, contained in any report, deliverable, or output generated by the Service, regardless of the nature or cause of such mistakes.
(a) You are solely responsible for verifying all information contained in Specchec reports before relying on it for any purpose.
(b) Specchec does not provide professional estimating services, architectural advice, engineering advice, or legal advice.
(c) You assume all risk associated with using Specchec reports as part of your bidding, estimating, or construction workflow.
(d) We strongly recommend that a qualified estimator or construction professional review every Specchec report before making any bid/no-bid decisions or taking any action based on the report's contents.
(e) No claim shall be made against Specchec or Sangre Strategies LLC for any loss, damage, cost, or liability arising from reliance on any report or output generated by the Service.
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at admin@specchec.com if you become aware of any unauthorized use of your account. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
Free Trial: New accounts receive 2 free extraction reports. No credit card is required for the free trial.
Paid Subscriptions: After the free trial, continued use requires a paid subscription. We offer four tiers: Solo ($99/month, 25 reports), Starter ($299/month, 100 reports), Pro ($549/month, 400 reports), and Enterprise ($999/month, 1,000 reports). Annual billing is available at a 10% discount.
Overage: Extractions beyond your monthly plan limit are billed at the per-report overage rate for your tier: $7.00 (Solo), $5.00 (Starter), $3.00 (Pro), or $1.00 (Enterprise) per additional report.
Billing: Subscription fees are billed in advance on a monthly or annual basis via Stripe. Overage charges are billed at the end of each billing cycle. All fees are in U.S. dollars and are non-refundable except as stated in Section 5.
Price Changes: We reserve the right to modify pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle after the notice period.
Taxes: You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.
Cancellation: You may cancel your subscription at any time through your account settings or by contacting admin@specchec.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.
Refunds: Subscription fees are generally non-refundable. However, if you cancel within 14 days of your first paid subscription and have used fewer than 5 extraction reports, you may request a full refund by emailing admin@specchec.com. Overage charges are non-refundable.
Annual Subscriptions: Annual subscriptions may be cancelled at any time, but no partial refunds will be issued for the remaining term. Service continues until the end of the annual period.
Our IP: The Specchec platform, including all software, algorithms, extraction logic, report templates, user interface, documentation, and trademarks, is the exclusive property of Sangre Strategies LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.
Your Data: You retain all ownership rights to the documents you upload to Specchec and to the content of the extraction reports generated from your documents. We claim no ownership over your uploaded specifications, plans, addenda, or the resulting reports.
Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.
You agree that you will NOT reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, extraction logic, or any proprietary methods of the Specchec platform. You will not create, develop, market, or distribute any product, service, or tool that is substantially similar to, derived from, or competitive with Specchec or any of its features, based in whole or in part on knowledge, methods, or insights gained from your use of the Service. In the event that you breach this provision and develop or contribute to a competing product, you agree that Sangre Strategies LLC shall be entitled to ninety percent (90%) of all gross revenue generated by such competing product for a period of five (5) years from first commercial availability. This provision shall survive termination of these Terms. You acknowledge that this provision is reasonable given the proprietary nature of the technology and the competitive harm that would result from misappropriation.
Document Processing: Your uploaded PDF documents are processed by our servers and sent to third-party AI services (currently Anthropic's Claude API) for text analysis. Documents are stored temporarily during processing and are deleted from our servers within 24 hours of extraction completion.
No AI Training: Your documents are NOT used to train AI models. Anthropic's API does not use API inputs or outputs for model training. Your proprietary construction documents remain your confidential information.
Data Storage: Extraction reports and account data are stored on secure servers hosted by Render.com. We implement commercially reasonable security measures to protect your data, but no system is 100% secure. You acknowledge this inherent risk.
Data Retention: Extraction report data is retained for as long as your account is active. Upon account deletion, your data will be permanently removed within 30 days.

You agree NOT to: (a) use the Service for any unlawful purpose; (b) upload documents containing malware, viruses, or malicious code; (c) attempt to reverse engineer, decompile, or extract the source code of the Service; (d) share your account credentials with third parties; (e) resell, sublicense, or redistribute access to the Service or its outputs without our written permission; (f) use automated tools, bots, or scripts to access the Service outside of normal browser usage; (g) upload documents you do not have the legal right to use; (h) interfere with or disrupt the Service or servers; (i) circumvent any access controls or usage limits.
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime. We are not liable for any loss or damage resulting from Service unavailability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANGRE STRATEGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BIDS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY EXTRACTION REPORT OR OUTPUT GENERATED BY THE SERVICE.
You agree to indemnify, defend, and hold harmless Sangre Strategies LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any bid or construction decision made in reliance on Specchec reports; or (e) any content you upload to the Service.
Governing Law: These Terms are governed by the laws of the State of Montana, without regard to its conflict of laws principles.
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any report or output generated by the Service shall be resolved exclusively by binding arbitration. Arbitration shall be administered by an arbitration body and under rules selected at the sole discretion of Sangre Strategies LLC, which may include but is not limited to the American Arbitration Association (AAA), JAMS, or any other recognized arbitration forum. The seat of arbitration shall be the State of Montana, or such other location as Sangre Strategies LLC may designate. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Costs and Fees: All costs, fees, and expenses associated with the arbitration proceeding — including but not limited to filing fees, arbitrator compensation, administrative fees, hearing costs, travel expenses, and any other costs incidental to the arbitration — shall be borne exclusively by the party initiating the claim (the "Claimant"). In the event that you initiate arbitration against Specchec or Sangre Strategies LLC, you agree to bear all such costs and expenses. Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim was frivolous or brought in bad faith, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Specchec or Sangre Strategies LLC.
Opt-Out: You may opt out of this arbitration provision by sending written notice to admin@specchec.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Montana, and you consent to the exclusive jurisdiction of such courts.
Small Claims: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction, provided the action is maintained on an individual (non-class, non-representative) basis.
Survival: This arbitration provision shall survive termination of your account, cancellation of your subscription, and expiration of these Terms.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, non-payment, suspected fraud, or conduct that we reasonably believe is harmful to other users or to us. Upon termination, your right to use the Service ceases immediately. Sections 2, 6, 7, 10, 11, 12, 13, and 15 survive termination.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sangre Strategies LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
Notices: We may provide notices to you via email to the address associated with your account. You may provide notices to us at admin@specchec.com.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party service failures, or acts of war or terrorism.
Third-Party Services: The Service relies on third-party providers including Anthropic (AI processing), Stripe (payment processing), and Render (hosting). We are not responsible for the acts or omissions of these third parties, though we select and monitor them with reasonable care.
If you believe that content on the Service infringes your copyright, please send a DMCA takedown notice to admin@specchec.com with: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; (e) a statement under penalty of perjury that the information is accurate; and (f) your physical or electronic signature.
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.
